    1. Agreement to Terms

    By accessing and using the website lumisparkai.com and services provided by Lumi Spark AI ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access our website or use our services.

    2. Services Description

    Lumi Spark AI provides artificial intelligence consulting, strategy development, automation solutions, and custom AI integration services for businesses. The specific scope, deliverables, timeline, and fees for any engagement will be outlined in a separate service agreement or statement of work.

    3. Use of Services

    When using our services, you agree to:

    • Provide accurate, current, and complete information as required
    • Maintain the confidentiality of any account credentials
    • Use our services only for lawful purposes and in accordance with these Terms
    • Not attempt to gain unauthorized access to our systems or networks
    • Not interfere with or disrupt the integrity or performance of our services
    • Not use our services to transmit any harmful, offensive, or illegal content

    4. Intellectual Property Rights

    The website, services, and all related content, features, and functionality are owned by Lumi Spark AI and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

    Unless otherwise specified in a separate agreement, all deliverables, methodologies, tools, and work product created by Lumi Spark AI remain our intellectual property. Clients receive a license to use deliverables for their internal business purposes as specified in the applicable service agreement.

    5. Client Responsibilities

    Clients engaging our services agree to:

    • Provide timely access to necessary information, systems, and personnel
    • Ensure they have appropriate rights and permissions for any data or systems they share with us
    • Review deliverables and provide feedback within agreed-upon timeframes
    • Make timely payments according to the agreed-upon terms
    • Maintain appropriate security measures for any AI systems we implement

    6. Fees and Payment

    Fees for our services will be specified in the applicable service agreement or statement of work. Unless otherwise agreed:

    • Invoices are payable within 30 days of the invoice date
    • Late payments may incur interest charges at a rate of 1.5% per month
    • We reserve the right to suspend services for overdue accounts
    • All fees are non-refundable unless otherwise specified in writing

    7. Confidentiality

    Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This obligation survives the termination of any service agreement and continues for a period of three years thereafter.

    8. Warranties and Disclaimers

    We warrant that we will perform our services with reasonable skill and care consistent with industry standards. However, we make no guarantees about specific results or outcomes.

    TO THE FULLEST EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

    We do not warrant that our services will be uninterrupted, error-free, or completely secure. AI technologies are evolving, and we cannot guarantee that AI systems will always perform as expected or produce accurate results.

    9. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, LUMI SPARK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE FEES PAID BY THE CLIENT FOR THOSE SERVICES IN THE SIX MONTHS PRECEDING THE CLAIM.

    10. Indemnification

    You agree to indemnify, defend, and hold harmless Lumi Spark AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

    11. Termination

    Either party may terminate a service engagement according to the terms specified in the applicable service agreement. Upon termination, the client remains responsible for payment of all fees for services rendered up to the termination date.

    12. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts located in Fort Wayne, Indiana.

    13. Changes to Terms

    We reserve the right to modify these Terms at any time. We will notify clients of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

    14. Severability

    If any provision of these Terms is held to be invalid or unenforceable, that provision shall be struck and the remaining provisions shall remain in full force and effect.

    15. Entire Agreement

    These Terms, together with any service agreement or statement of work, constitute the entire agreement between you and Lumi Spark AI regarding the use of our services and supersede all prior agreements and understandings.
